These Terms of Service (“Terms”) govern your access to and use of the Kera website, waitlist, early-access programme, and related applications and services (together, the “Service”). The Service is operated by SPIN LLC, the company that owns and provides Kera. By accessing or using the Service, you agree to these Terms. If you do not agree, please do not use the Service.

2. Early access and changes to the Service
Kera is offered on a pre-launch and early-access basis. Features may be added, changed, suspended, or removed at any time, and parts of the Service may be incomplete or unavailable. We may set, change, or introduce fees for parts of the Service in the future; where the Service is described as free, we will give you notice before any charge applies.
3. Eligibility
You must be at least 18 years old, or the age of majority in your jurisdiction, to enter into these Terms and to create an account or submit information through the Service. Where Kera supports household members who are minors, an eligible adult is responsible for their access and for any approvals, limits, and controls that apply to them.
4. Acceptable use
When you use the Service, you agree not to:
- break any applicable law, or infringe anyone’s rights;
- submit information that is false, or that belongs to someone else without permission;
- interfere with, disrupt, probe, or attempt to gain unauthorised access to the Service or its infrastructure;
- use the Service to send spam, or to build a competing product from our content or data.
5. Communications
When you submit a form (for example, to join the early-access list or to contact us), you agree that we may contact you by email in response, and — where you have opted in — to send you updates about Kera. You can unsubscribe from marketing emails at any time using the link in those emails, or by contacting us. See our Privacy Policy for how we handle your information.
6. Intellectual property
Kera, the Kera and SPIN names and logos, and all software, text, and design that make up the Service are owned by SPIN LLC or its licensors and are protected by intellectual-property laws. We grant you a limited, personal, non-exclusive, non-transferable, revocable licence to use the Service for its intended purpose. You may not copy, modify, distribute, sell, or reverse-engineer any part of the Service except as permitted by law.
7. Third-party services
The Service relies on third-party providers (for example, for email delivery and hosting) and may link to third-party websites and applications. We are not responsible for third-party services or their content, and your use of them is governed by their own terms and policies.
8. Disclaimers
The Service is provided “as is” and “as available”, without warranties of any kind, whether express or implied, to the fullest extent permitted by law. We do not warrant that the Service will be uninterrupted, error-free, or secure, and any illustrative figures, forecasts, or budget estimates shown are for guidance only and are not financial advice.
9. Limitation of liability
To the fullest extent permitted by law, SPIN LLC and its directors, employees, and partners will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, or goodwill, arising out of or relating to your use of the Service. Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law.
10. Changes to these Terms
We may update these Terms from time to time. When we do, we will change the “Last updated” date above and, where changes are material, take reasonable steps to notify you. Your continued use of the Service after an update means you accept the revised Terms.
11. Governing law and disputes
These Terms are governed by the laws of Georgia, without regard to its conflict-of-laws rules. Any dispute arising out of or relating to these Terms or the Service will be subject to the exclusive jurisdiction of the competent courts of Tbilisi, Georgia, unless mandatory law in your country of residence provides otherwise.
