Welcome to Kera. These Terms of Service (“Terms”) are a legal agreement between you and SPIN LLC (“SPIN LLC”, “we”, “us”), the company that operates the Kera household procurement app on mobile and web (the “Service”). Please also read our Privacy Policy, which is incorporated into these Terms.
SPIN LLC (Georgian: შპს სპინ) is a limited liability company registered in Georgia, company ID 405173191, with its registered office at Ana Politkovskaia Street 22a, Floor 10, Apt 140, Vake District, Tbilisi 0186, Georgia.
By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
1. The Service
Kera is a household procurement organizer. It lets a household capture shopping needs, route them through approval, record purchases, track budgets and spending, manage recurring essentials, and use optional AI conveniences (auto-categorization, duplicate detection, voice and photo capture, receipt parsing, an assistant, and product-link enrichment).
Kera is an organizational tool, not a store or payment processor. Kera does not sell goods, process payments, or fulfill orders. Any purchase you make happens with a third-party merchant under that merchant’s terms; Kera only helps you organize and record it.
2. Eligibility & accounts
- You must be able to form a binding contract to create an account. Use by minors is
subject to the parental-consent and child-role provisions described in our Privacy Policy (§5) and in §6 below. [Finalize minimum-age + parental-consent terms before launch.]
- You are responsible for the accuracy of your account information and for keeping your
password and devices secure. You are responsible for activity under your account.
- Notify us promptly of any unauthorized use of your account.
3. Households, roles & members
- Kera organizes people into households with three roles: ADMIN (manages the
household), BUYER (can purchase), and REQUESTER (can ask, but not purchase — the child-safe role).
- When you create or join a household, the household’s admins and members can see the
shared content you contribute (requests, comments, purchases recorded, etc.) as part of normal household collaboration.
- Admins can invite and remove members, configure approval/auto-approve rules,
budgets, and other household settings, and may reset or freeze a household.
- Invite codes and links are how members join — keep them within the people you intend
to invite.
4. Acceptable use
You agree not to:
- use the Service for any unlawful purpose, or to infringe anyone’s rights;
- upload content that is illegal, harmful, infringing, or that you don’t have the right
to share;
- attempt to access accounts, households, or data that are not yours;
- probe, scan, or disrupt the Service, or circumvent rate limits, security, or feature
gating;
- misuse the AI features (e.g. to generate prohibited content) or scrape the Service.
We may suspend or terminate accounts that violate these Terms.
5. Your content
- You keep ownership of the content you submit (items, notes, comments, photos,
voice notes, lists). You grant Kera a limited license to host, process, display, and back up that content solely to operate and improve the Service, including sending it to the third-party processors listed in the Privacy Policy (§6) to deliver the features you use.
- You are responsible for your content and for ensuring you have the rights to it.
- We may remove content that violates these Terms.
6. AI features & third parties
- Kera’s AI conveniences send relevant data (e.g. item names, receipt and product
photos, and assistant messages) to third-party AI processors — currently Anthropic (Claude) and Replicate — and use data sources such as Open Food Facts. See the Privacy Policy (§6) for details.
- AI output can be wrong. Categorizations, parsed receipts, identified products,
extracted prices, suggestions, and assistant replies are best-effort and may be inaccurate. Always review AI output before relying on it, especially for prices and purchases. Kera is not liable for decisions you make based on AI output.
7. Prices, budgets & purchases
- Prices, budgets, spending figures, currency conversions, and price-drop alerts in
Kera are for your organization and reference only. Currency conversions use third-party exchange-rate data and may be approximate or unavailable for some currencies.
- Kera does not guarantee that any price, availability, alternative, or affiliate
offer shown is current, accurate, or the lowest available.
- Some product links may be affiliate links from which we may earn a commission
(Privacy Policy §6).
8. Service availability & changes
- We may add, change, or remove features (including behind feature flags), and we may
update or discontinue parts of the Service. We aim to give notice of material changes where reasonable.
- The Service is provided on an ongoing best-effort basis and may experience downtime,
maintenance, or data-sync limitations (e.g. offline actions replay on reconnect).
9. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE”, WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, TO THE FULLEST EXTENT PERMITTED BY LAW. We do not warrant that the Service will be uninterrupted, error-free, or that AI output, prices, or data will be accurate.
10. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, SPIN LLC WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF DATA, PROFITS, OR PURCHASES, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE. Nothing in these Terms limits liability that cannot be limited under applicable law (including certain consumer rights).
11. Termination
- You may stop using Kera and delete your account at any time (Settings → Privacy &
data).
- We may suspend or terminate your access if you violate these Terms or to protect the
Service or other users.
- Some provisions (ownership, disclaimers, liability limits, and dispute terms) survive
termination.
12. Changes to these Terms
We may update these Terms as the Service evolves. We will post the new effective date and, for material changes, provide notice in-app or by email where appropriate. Continued use after changes take effect means you accept the updated Terms.
13. Governing law & disputes
These Terms are governed by the laws of Georgia, without regard to its conflict-of-laws rules. The courts of Tbilisi, Georgia have jurisdiction over any dispute arising out of or relating to these Terms or the Service, except where mandatory consumer-protection law in your country of residence gives you the right to bring a claim, or requires a different governing law or venue.
